By accessing and using Voca ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. These Terms and Conditions ("Terms") govern your use of our blockchain telecommunications platform, AI voice services, NFT marketplace, and related services.
If you do not agree to abide by the above, please do not use this service.
Voca provides:
You must be at least 18 years old to use our Services. By using the Platform, you represent and warrant that you are at least 18 years of age.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
NFTs purchased through our marketplace grant you access rights to specific voice agents and services. Ownership of an NFT does not grant you intellectual property rights to the underlying voice technology or content.
All NFT transactions are processed through Crossmint, a third-party payment processor. You agree to comply with Crossmint's terms of service and acknowledge that Voca is not responsible for payment processing issues.
NFT transactions are recorded on blockchain networks and are generally irreversible. You acknowledge the risks associated with blockchain technology, including but not limited to network fees, transaction delays, and potential loss of digital assets.
By using voice cloning services, you represent that you have obtained all necessary permissions and consents for any voice data you provide. You are prohibited from cloning voices without explicit consent from the voice owner.
Our AI voice agents are provided "as is" and may contain errors, inaccuracies, or limitations. We do not guarantee perfect accuracy or performance of AI-generated content.
You agree not to use our voice services for:
All intellectual property rights in the Platform, including but not limited to software, algorithms, designs, trademarks, and proprietary technology, are owned by Voca or its licensors.
You retain ownership of content you create using our services, but grant Voca a non-exclusive license to use, modify, and distribute such content as necessary to provide our services.
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Services, to understand our practices regarding the collection, use, and disclosure of your personal information.
We do not guarantee uninterrupted or error-free operation of our services. The Platform may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOCA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising from or relating to these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
You agree to defend, indemnify, and hold harmless Voca and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our Services.
We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.
These Terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Delaware.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
